Terms of Use

Acceptance of Terms

By accessing decisionline.ai or engaging Decisionline Engineering (“Decisionline”, “we”, “us”) for services, you agree to these Terms of Use. If you enter into a master services agreement (MSA) or statement of work (SOW) with us, that agreement controls where it conflicts with these Terms.

Services & Scope

We provide AI‑enabled engineering decision‑support, including data preparation, modeling, testing, evaluation, and deployment support. Deliverables inform decisions; they do not constitute guarantees of outcomes. Engagement details (scope, deliverables, fees, schedules) are defined in an SOW.

Client Data & Confidentiality

Each party will protect the other’s confidential information. You represent that you have the rights to provide any data you share and will not provide data that you are prohibited from disclosing. We process client data only to provide the services and as permitted by contract.

Intellectual Property

Each party retains ownership of its pre‑existing IP. Unless the SOW states otherwise, (a) you own your data and any final reports/deliverables we expressly label as “Client Deliverables”; (b) we retain ownership of our methods, models, tools, and know‑how, and we grant you a non‑exclusive license to use deliverables internally for their intended purpose.

Acceptable Use

You will not misuse the site or services, interfere with their operation, or attempt to access data you do not have rights to.

No Legal Advice; Engineering Decision‑Support

Site content is for general information. We provide engineering decision‑support; we do not provide legal advice. Engineering decisions should be made by qualified professionals with appropriate review, and legal matters should be handled by licensed counsel.

Engineering Services Only; No Legal Advice

Decisionline is not a law firm and does not provide legal advice. Our work product consists of engineering analyses and decision‑support. Nothing on the site or in our deliverables should be construed as legal advice, and no attorney‑client relationship is created by your use of the site or our services.

Use in Litigation & Expert Work

We may provide technical analysis and expert services when expressly agreed in an SOW. We do not direct legal strategy. Scheduling, rates, discovery, confidentiality, and testimony terms (if any) will be specified in the SOW or an addendum.

Client Responsibilities & Data Accuracy

You are responsible for ensuring that data you provide is lawfully obtained and accurate to the extent required for the engagement. You agree to promptly review deliverables and provide clarifications or corrections. You will not provide data that you are prohibited from sharing.

Standards & Compliance

Unless an SOW expressly states otherwise, deliverables are decision‑support and do not constitute a certification or a guarantee of compliance with any specific statute, code, or standard. Implementation decisions remain with the client and their professional advisors.

Third‑Party & Open‑Source Tools

Our workflows may rely on third‑party or open‑source components. We provide them “as is” subject to their respective licenses. Where required, we will disclose relevant licenses in deliverables.

Indemnification (Client Data & Use)

You will indemnify and hold Decisionline harmless from claims arising out of (a) your provided data (including infringement or privacy violations) and (b) your misuse of deliverables, except to the extent caused by our willful misconduct.

Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN AN SOW, THE SITE AND SERVICES ARE PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. EXCEPT FOR PAYMENT OBLIGATIONS OR BREACHES OF CONFIDENTIALITY/IP, EACH PARTY’S AGGREGATE LIABILITY UNDER THESE TERMS IS CAPPED AT THE FEES PAID OR PAYABLE TO DECISIONLINE FOR THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Governing Law; Venue

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of laws. Venue and jurisdiction lie in the state or federal courts located in Maricopa County, Arizona.

Changes

We may update these Terms. The “Effective” date indicates the latest version.
